Terms of Service

This document is also available in Spanish as a courtesy translation. If there is ever a conflict or discrepancy between the two versions, this English version governs.

These Terms govern your use of the Césped application ("the App") provided by Césped LLC ("we", "us"). By creating an account or using the App you agree to these Terms. If you do not agree, do not use the App.

The service

Césped is a tool to help landscaping and lawn-care businesses manage clients, schedules, routes, crews, payments, and estimates. It is a tool only — you are responsible for how you run your business.

Subscriptions and billing

Césped Pro is a paid subscription, and it is billed only on the web, by Stripe. There is no in-app purchase: the app is free to download, and subscribing takes you to a secure Stripe checkout page in your browser. Neither Apple nor Google bills you for Césped, and your subscription will not appear in your App Store or Google Play subscriptions list. The current price is shown before you subscribe, and that is the price you pay.

Priced per person. Your subscription is priced per person on your account — every active person, including you as the owner, costs the same monthly amount. Your monthly charge is that amount multiplied by the number of people on the account. The App always shows how many people you have and what your subscription costs.

Adding and removing people. All subscriptions are billed directly by us through Stripe, so the following applies to everyone.

Adding a person increases what you pay each month; removing a person lowers it. Changes take effect on your next billing date. If you add someone in the middle of a billing period, nothing is charged that day — the new amount starts at your next renewal. If you remove someone, there is no refund and no credit; your next bill is simply lower. Anyone you add gets access right away. During a free trial, adding a person does not charge you anything — see Free trial below.

Price changes. What it costs us to run the App changes over time, and we may change our prices. If a price increase affects your account, we will tell you at least 30 days before it takes effect, by email to the address on your account and with a notice in the App. An increase is never retroactive — it starts with your next billing period after that notice. Because Césped is month-to-month with no contract, you can cancel at any time before the new price takes effect and you will not be charged it.

Free trial. Every new account gets 7 free days and no card is required to start. You are not charged anything while the trial is running — including for people you add during it.

There are two different trials, and they end differently:

If you add a card while your free days are still running, we set the paid subscription to begin when those free days end, so you never lose time you already had.

Automatic renewal. Your subscription renews automatically at the end of each monthly billing period at the then-current price, charged to the card you gave our payment processor (Stripe), until you cancel. To avoid being charged, cancel at least 24 hours before the current period ends.

How to cancel. Cancel at app.cesped.app in your browser, under Settings → Subscription. (That screen is on the web only — the phone app does not show it, because nothing is billed through the app.) Or cancel by emailing support@cesped.app. Because we do not bill through the app stores, there is nothing to cancel in your Apple App Store or Google Play settings — cancelling there is not possible and will not stop your Césped subscription. Cancelling stops future charges but does not refund the current period, and deleting the App does not cancel your subscription. Refunds are handled under our refund policy.

Acceptable use

You agree not to misuse the App, including: breaking the law, storing data you have no right to store, attempting to access other businesses' data, or disrupting the service.

Communications to your customers

The App can help you send text messages and emails to your own customers — for example appointment reminders, quotes, invoices, and review requests. You are responsible for having the consent or other legal basis required to contact them (including under the U.S. TCPA and CAN-SPAM) and for honoring any request to stop. Césped sends these at your direction and on your behalf; for that communication, you are the sender.

Data processing (your customers' data)

When you store information about your own customers in the App, you are the controller/business and Césped is your processor/service provider for that information. We process it only to provide the App to you and on your instructions, we do not sell or share it, and we will delete or return it at your direction. This is our service-provider commitment under the CCPA/CPRA (Cal. Civ. Code §1798.140) and our processor commitment under GDPR Article 28 where it applies. We use the sub-processors listed in our Privacy Policy and will give notice before a new one begins processing. For a signed Data Processing Addendum, email support@cesped.app.

Copyright and content

You keep ownership of the content and data you upload (photos, notes, client information). You grant us only the limited permission needed to store, process, and display it in order to run the App for you. You must not upload content you do not have the right to use.

We respect intellectual-property rights and respond to notices of claimed copyright infringement under the U.S. Digital Millennium Copyright Act (DMCA). If you believe content in the App infringes your copyright, send a written DMCA notice with the required details to our designated agent at support@cesped.app. We may remove infringing content and terminate repeat infringers.

Your data and accuracy

You are responsible for the accuracy of the information you enter and for how you use the App's outputs. Estimates and calculations (including the material calculator) are approximations provided for convenience only — always verify quantities, prices, and measurements independently before ordering materials or billing customers.

Your backups. The App is a working tool, not a system of record or an archival service. You are responsible for keeping your own copies of anything you need to keep long-term. Use Settings → Export backup to download your business records — clients, visits, quotes, invoices, payments, and expenses — as a file you keep, and make a habit of doing this regularly.

Photos are not included in the export. The backup file records that a photo was attached and where, but it does not contain the image itself. If there are job photos you need to keep — for a dispute, a warranty claim, or your own records — save them yourself: keep them in your phone's camera roll when you take them, or download them from the App and store them somewhere you control.

Not professional advice

The App helps you track revenue and expenses but is not accounting, tax, legal, or financial advice, and is not a substitute for a professional. You are responsible for your own bookkeeping, taxes, and legal compliance.

Disclaimer of warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DATA WILL NEVER BE LOST.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CÉSPED LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING FROM YOUR USE OF (OR INABILITY TO USE) THE APP — INCLUDING ERRORS IN SCHEDULING, ROUTING, CALCULATIONS, OR INVOICES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM.

Indemnification

You agree to indemnify and hold Césped LLC harmless from claims arising out of your use of the App, your data, or your violation of these Terms — including claims by your own customers or employees.

Termination

You may stop using the App at any time and delete your account. We may suspend or terminate accounts that violate these Terms.

Data after cancellation. After your account is cancelled — by you or by us — we reserve the right to delete your photos and other account data after a reasonable period. Export a backup first if you want to keep a copy of your business records — see Settings → Export backup, described under "Your data and accuracy" above — and save separately any photos you want to keep, since the export does not include them.

Dispute resolution; binding arbitration; class-action waiver

Please read this section carefully — it affects your legal rights. Most concerns can be resolved quickly by emailing us first at support@cesped.app, and we ask that you contact us before starting a formal dispute.

Except where prohibited by law, you and Césped LLC agree that any dispute arising out of or relating to these Terms or the App will be resolved by final and binding individual arbitration, rather than in court, under the Federal Arbitration Act. You and we waive the right to a jury trial and the right to bring or participate in a class action or class-wide arbitration. Either party may still bring an individual claim in small-claims court, and either party may seek injunctive relief in court for intellectual-property or unauthorized-access matters.

Opt-out. You may opt out of this arbitration agreement by emailing support@cesped.app within 30 days of first accepting these Terms, stating your name and that you opt out of arbitration.

Governing law

These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws rules, except that the Federal Arbitration Act governs the arbitration section above.

Changes

We may update these Terms; material changes will be signaled in the App. Continued use after an update means you accept the revised Terms.
